Terms of Service

Welcome to CreatorXChange (“CreatorXChange,” “we,” “us,” or “our”). CreatorXChange operates a marketplace that connects brands and creators who run marketing campaigns (“Brands”) with independent clippers who create and submit short-form video clips (“Clippers”). Brands and Clippers are each referred to in these Terms as a “User” and collectively as “Users.”
These Terms of Service (these “Terms”) govern your access to and use of the CreatorXChange website, platform, and services (the “Services”). By creating an account or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Agreement to Terms
These Terms form a legally binding agreement between you and CreatorXChange. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and references to “you” in these Terms refer to both you and that entity.
We may revise these Terms from time to time. The “Last updated” date at the top reflects the most recent version. We will notify Users of material changes through the Services or by email. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
2. Eligibility
You may use the Services only if:
- You are at least 18 years old and have the legal capacity to enter into a binding contract;
- You are not barred from using the Services under the laws of the United States or any other applicable jurisdiction; and
- You have provided accurate and complete registration information.
Because the Services involve payments and payouts, accounts may be subject to identity verification.
3. Your Account
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate, current, and truthful information;
- Keep your password and any connected sign-in methods confidential;
- Maintain one account per person and not share, sell, or transfer access to your account; and
- Promptly notify us of any unauthorized use or security breach.
We may suspend or close accounts associated with inaccurate information, suspicious activity, or violations of these Terms.
4. How the Platform Works
CreatorXChange is a two-sided marketplace for performance-based content marketing. The Services facilitate interactions and payments between Brands and Clippers, but CreatorXChange is not a party to any agreement between a Brand and a Clipper and does not guarantee any specific results, earnings, or performance.
Brands create campaigns, set budgets and terms, review submitted clips, and approve or reject content. Clippers create and submit clips to eligible campaigns and may earn based on real, qualifying engagement as determined by the platform.
5. Campaigns and Clips
You are solely responsible for the content you create, submit, post, or otherwise make available through the Services (“Content”). By submitting Content, you represent and warrant that:
- You own or have obtained all necessary rights and permissions to the Content;
- The Content does not infringe the intellectual property, privacy, or other rights of any person or entity; and
- The Content is accurate and complies with all applicable laws and these Terms.
Brands and Clippers each acknowledge that campaign budgets, eligibility, approval decisions, and payout calculations are subject to the platform’s processes and policies, which may change from time to time.
6. Payments, Wallet, and Payouts
Earnings, wallet balances, and payouts are processed through CreatorXChange and our payments partners. The following apply:
- No guarantee. CreatorXChange does not guarantee that any User will earn money. Earnings depend on campaign availability, qualifying engagement, and other factors.
- Payouts. To receive a payout, you must complete any required verification and provide valid payout details. Payouts are subject to minimum thresholds, processing times, and applicable fees.
- Taxes. You are solely responsible for any taxes due on amounts you earn or receive through the Services.
- Clawbacks. Earnings tied to fraudulent or non-qualifying activity may be reversed, withheld, or recovered, including from future earnings, as described below.
Payment processing is handled by third parties such as Stripe. Your use of those services is also subject to their terms and policies.
7. Fraud and Artificial Engagement
CreatorXChange pays for real views from real people. Buying views, using bots, view farms, automation, or any other method to artificially inflate the engagement numbers on a clip is fraud and is strictly against platform policy.
If we detect or determine that a clip received botted, purchased, or artificially generated views:
- The Clipper will not be paid for that clip;
- Any earnings already paid that are tied to fraudulent activity will be reversed and clawed back from the wallet, or offset against future earnings if already withdrawn; and
- The account will be permanently banned. A ban applies to the user, meaning every account that user operates on CreatorXChange—both Creator and Clipper—is terminated.
Detection and enforcement are at CreatorXChange’s sole discretion. We do not need to prove how the views were generated or that the user intended to commit fraud. If the views on a clip are not real, the consequences above apply. We actively monitor for view fraud, and enforcement is final.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or abusive purpose, including generating artificial or bot engagement;
- Infringe or misappropriate the intellectual property or other rights of any person;
- Interfere with, disrupt, or overload the Services, or attempt to access them in ways not authorized by CreatorXChange;
- Scrape, crawl, or extract data from the Services except as permitted by us;
- Submit Content that is defamatory, harassing, harmful, sexually explicit, or otherwise objectionable; or
- Use another person’s identity, payment method, or account without authorization.
9. Content and Intellectual Property
As between you and CreatorXChange, you retain ownership of your intellectual property rights in Content you create and submit. By submitting Content, you grant CreatorXChange a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, publish, distribute, and otherwise operate on that Content for the purpose of operating, promoting, and improving the Services.
The CreatorXChange name, logo, and platform features are owned by us and protected by intellectual property laws. Nothing in these Terms grants you any right to use our branding except as expressly permitted.
If you believe that Content on the Services infringes your copyright, you may submit a takedown request to legal@creatorxchange.com with the information required for a valid notice under applicable law.
10. Privacy
Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect information. By using the Services, you consent to the practices described in those policies.
11. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, CreatorXChange and its affiliates disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any earnings will result from your use of them.
12. Limitation of Liability
To the fullest extent permitted by law, in no event will CreatorXChange or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or earnings, arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless CreatorXChange and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your Content, your violation of these Terms, or your misuse of the Services.
14. Term and Termination
These Terms begin when you first use the Services and continue until terminated. You may close your account at any time. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violations of these Terms or suspected fraud.
Upon termination, your right to use the Services ends immediately. Outstanding payouts may be forfeited, delayed, or reversed where your account is terminated for fraud or other violations, and clawback and recovery rights in these Terms will survive.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You and CreatorXChange agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to informal resolution or arbitration as required by law.
16. General Terms
If any part of these Terms is found unenforceable, the remaining portions will continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign these Terms freely. These Terms constitute the entire agreement between you and CreatorXChange regarding the Services.
